Event Publicly Available Information:
In a press release (“Press Release”) entitled “Notification Regarding a Company Split and Amendments to Articles of Incorporation (Change of Corporate Name and Business Purpose) Pursuant to the Move to a Holding Company Structure” and dated 15 May 2012, All Nippon Airways Co., Ltd. (the “Reference Entity”), announced, inter alia, that effective 1 April 2013, it would transfer all its business (excluding certain business specified in the Press Release, “Business”) by way of a ‘company split’ (the “Corporate Split”), to ANA Holdings Inc. (“Succeeding Company”), a wholly owned subsidiary of the Reference Entity. According to the Press Release, on 1 April 2013, the Succeeding Company would change its name to “All Nippon Airways Co., Ltd.” and the Reference Entity would change its name to “ANA Holdings Inc.”
In addition, according to the Press Release, all assets, liabilities and other rights and obligations of the Reference Entity relating to the Business (with the exception of certain air transport related non-financial obligations specified in the Press Release) would be ‘transferred’ to the Succeeding Company (but such obligations and liabilities remain jointly and severally assumed by the Reference Entity).
It appears that the Corporate Split has been carried out as per the Press Release on 1 April 2013 (cf. press release 28 February 2013 and “ANA Group History”, items (b) and (c) of “Additional Material” below).
