Event Publicly Available Information:
On 1 April 2015, for the purpose of changing to a holding company structure (純粋持株会社制) and by way of a corporate split under Japanese law (会社分割, “Corporate Split”), Kintetsu Corporation (“RE”) spun off its railway, real estate, hotel and hospitality and distribution businesses into the following subsidiaries (collectively, “Subsidiaries” and the business assumed by each of such Subsidiaries, the “Assumed Business”): Kinki Nihon Railway Corporate Split Preparation K.K. (近畿日本鉄道分割準備株式会社, “Prep Co”); Kintetsu Real Estate K.K.; K.K. Kintetsu Hotel Systems; and K.K. Retail Services Pursuant to the Corporate Split, each of the Subsidiaries assumes the long- and short-term debts relating to the Assumed Business as set out in ‘Appendix of Assumed Rights and Obligations’ to the relevant corporate split agreement between the Reference Entity and the Subsidiary, excluding corporate debts repayable within a year (excluded from the short-term debts) and corporate debts (excluded from the long-term debts). In addition, pursuant to a corporate notification dated 1 April 2015, on the same date, the RE changed its name to “Kintetsu Group Holding Co., Ltd.” (近鉄グループホールディングス株式会社) and its corporate bonds series 63, 72, 73, 74, 78, 80, 81, 82, 83, 84, 86 and 90 (“Relevant Debts”) were renamed accordingly. On the same date, Prep Co changed its name to “Kintetsu Corporation” (“New Kintetsu”) and the repayment of the Relevant Debts would be jointly assumed by the RE and New Kintetsu.
