On July 11, Bayer AG announced the final results of its previously announced private offers to exchange any and all validly tendered and accepted Monsanto Notes for notes to be issued by Bayer US Finance II LLC. The final settlement of the Exchange Offers and Consent Solicitations, the issuance of the notes to be issued by Bayer US Finance II LLC, and the adoption of the Proposed Amendments in respect of the Monsanto Notes took place on or about July 12, 2018.
