Event Publicly Available Information:
In accordance with the Special Resolution dated 22 October 2015, available in a filing on the Irish Companies Registration Office website, the Reference Entity resolved, inter alia, that it would be wound up voluntarily. On the face of it there is no evidence that the winding up is part of a consolidation, amalgamation or merger, so accordingly this event would appear to fall within Section 4.2(e) of both the 2014 and 2003 Definitions.
